LICENSE AGREEMENT

1. Parties

This License Agreement (“Agreement”) is entered into by and between MY COAPP LLC, a New Jersey limited liability company ("Licensor"), and [Customer Name] ("Licensee").

2. License Grant

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the custom mobile app and associated tools, subject to the terms and conditions set forth herein.   

3. Ownership

All rights, title, and interest in and to the app and tools remain with the Licensor. The Licensee does not acquire any ownership rights.

4. Tool Pricing and Subscription

Each tool is subject to distinct pricing and a monthly subscription fee, as detailed in the attached pricing schedule. The Licensee agrees to pay these fees in accordance with the specified payment schedule.  

5. Active Users

The app permits up to five (5) "active users." An "active user" is defined as an email address used  to access the app. Each active user may access the app on up to five (5) different devices simultaneously without being counted as multiple users. Additional fees apply for each user.  

6. Term and Termination

This agreement is effective upon acceptance and continues until terminated by either party with thirty (30) days' written notice.  

7. Restrictions

The Licensee shall not copy, modify, or distribute the app or tools without prior written consent from the Licensor.  

8. Liability

The Licensor shall not be liable for any indirect, incidental, or consequential damages arising from the use of the app.  

9. Governing Law  

This agreement shall be governed by and construed in accordance with the laws of the State of New Jersey. 

10. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.  

11. Amendments

The Licensor reserves the right to modify the service, update the Agreement, pricing, or any linked documents. If the Licensee does not agree to the revised terms, they may discontinue use of the service. Any amendments must be in writing and signed by both parties.
